WHO YOU'LL WORK WITH

Bain’s Global Mergers & Acquisitions (M&A) team plays a critical role driving acquisitions, minority investments, and other corporate transactions that accelerate growth, advance the firm’s strategy, add critical capabilities, and create financial value.  Responsible for the facilitation of investment decisions by Bain’s Global Operating Committee and Board of Directors, we engage across all aspects of the deal process, including opportunity assessment/cultivation, due diligence, valuation, negotiation and structuring, deal execution, and integration planning.    

WHAT YOU’LL DO

Working as a senior member of the Global M&A team, you will play a critical role in accelerating Bain’s growth through acquisitions, investments, and other corporate transactions that promote macro strategy, add or enhance critical capabilities, and create financial value.  In this role, you will support all aspects of the M&A process, including but not limited to: opportunity screening and pipeline review, financial and strategic analysis, complex modeling and valuation, due diligence, deal structuring and negotiation, execution and closing, and integration planning. 

 

This is an opportunity to sit at the intersection of strategy and M&A with a heavy focus on deal structuring and execution. You will help to evaluate the fit of potential targets with our strategic and go-to-market priorities and drive the successful deal negotiation and execution required to capitalize on the most attractive opportunities.  In the process, you will work closely with senior leaders across Bain, including members of the Investment Committee, practice area leadership, other internal stakeholders, and a variety of external advisors.  

 

  • Play the role of deal "quarterback" on specific deals, supporting business deal sponsor, coordinating cross-functional deal teams within Bain, and representing the firm in interactions with target company management and external advisors
    • Help shape and deploy best in class processes to efficiently and effectively execute transactions
    • Shepherd all aspects of the deal execution process internally and externally, including playing lead role in managing outside experts and coordinating key diligence process deliverables (e.g., quality of earnings review, legal diligence, etc.)
    • Coordinate internal reviews of and provide recommendations on acquisition opportunities, deal terms, structure, valuation, and negotiating positions
    • Interface with key internal resources (e.g., commercial diligence teams, deal sponsors, deal steering committee, and senior practice area leadership) and external advisors (e.g., investment banks, law firms, and accounting firms) as required to achieve objectives
    • Interact with management teams and critical employees from the potential target companies as required to support deal structuring, due diligence, or integration planning
    • Develop executive-ready materials with strategic framing, analysis, and recommendations to support reviews/decisions by the firm's Investment Committee and Board of Directors
    • Help craft and review key deal documents, including indications of interest (IOI) and letters of intent (LOI), and final deal documentation
    • Play a key role in the successful drafting, review, negotiation, and execution of purchase agreements and other deal documentation, working closely with internal legal and tax experts and third party advisors
    • Develop command over all details in the purchase agreement negotiations, and exercise the right judgment in determining which issues to escalate to deal sponsors, Vice President of M&A, and deal steering committees
    • Support initial integration planning and coordinate with internal merger integration teams as required to ensure successful transition from execution to integration
  • Serve as a trusted advisor and M&A expert in supporting business deal sponsors on all aspects of the deal process, including sourcing/screening, initial assessment, pipeline management, financial modeling, due diligence, closing, and integration prep
    • Support senior practice area leaders and internal SMEs in initial screening/assessment of potential opportunities that arise from both proprietary relationships and deal processes
    • Engage with investment bankers and other external deal sources to review opportunities and connect with the right internal leaders on targets that could be attractive
    • Leverage these relationships and initial screening efforts to maintain and continually update a firm-wide view of the M&A pipeline
    • Advise internal deal sponsors and teams on how to navigate the deal process and engage appropriately with both target companies and Bain's Investment Committee
    • Identify the critical diligence issues to shape workplans and advise other members of the deal team (e.g., business deal sponsor, commercial diligence teams)
    • Help frame the pros and cons of key decisions that come up in deal negotiations/structuring, and drive the group to the right decisions
  • Lead or support junior resources in the execution of critical qualitative and quantitative analyses in support of diligence, deal structuring, and execution
    • Perform and supervise junior team members in the performance of financial modeling to assess and value potential transactions, incorporating multiple deal structure scenarios and assumptions around future performance
    • Perform and supervise junior team members in the performance of detailed analysis of potential target companies, including in-depth assessments of industry, customer, competitor, and financial data to drive synergy estimates and pressure test modeling
    • Pressure test deal models and assumptions prepared by commercial diligence teams or deal sponsors
    • perform and supervise junior team members in analyses related to key elements of the deal structuring, including earnout metrics, working capital peg, and purchase price adjustments
    • Brainstorm and develop deal structure options, and refine with the input of key cross-functional experts (e.g., legal, tax, HR, etc)
  • Promote and support the overall capability efforts for the Bain team and professional development of junior team members, including:
    • Provide proactive and actionable feedback to junior team members, serving as a coach/mentor promoting their professional development
    • Take a leadership role in training junior team members, including proactively finding ways to bolster internal training and professional development practices
    • Help augment and continually evolve the firm’s M&A playbook, and contribute to a repository of templates and other materials that can be leverage on future deals
    • Keep up to date on market developments and trends in M&A, and disseminate key developments to firm stakeholders as appropriate
    • Build and maintain relationships with practice area leadership and other internal stakeholders to assist in understanding the landscape of potential targets and competitors that form the pipeline in priority areas
    • Build and maintain relationships with key external parties including third party advisors and deal sources

ABOUT YOU

  • Bachelor’s degree required or MBA, JD or other advanced degree
  • 10+ years of relevant experience in corporate strategy / M&A, private equity, investment banking, corporate development or venture capital
  • Experience managing the full end-to-end life cycle of an M&A deal
  • Recent Bain consulting experience or other top-tier management consulting experience (with experience supporting private equity or M&A projects)
  • Experience working on any relevant deal sectors – consulting services, data analytics/tech services, SaaS, business services, etc.
  • Strong analytical capability, with ability to generate powerful insights and the communication skills required to make the numbers come alive by clearly conveying complex information in a way that supports decision making
  • Strong project management capabilities and ability to drive multi-disciplinary teams of internal and external stakeholders to deliverables on tight deadlines
  • Highly collaborative individual with demonstrated track record as a self-starter and the ability to multi-task and prioritize among competing demands; ability to wear multiple hats and be both a “thinker” and a “doer”
  • Sound business judgment, with ability to anticipate firm needs and identify and implement practical, realistic solutions
  • Ability to build expertise quickly and get up to speed on new industries, companies, and technical issues that arise in diligence process (including complicated legal, accounting, or tax matters)
  • Expertise and comfort with financial and M&A modeling – knowledgeable enough to coach junior resources
  • Understanding of the basic legal, tax and other matters common in M&A transactions
  • Professionalism and gravitas required to influence senior stakeholders internally and speak on behalf of the firm in negotiations and other high stakes conversations
  • Ability to manage confidential and highly sensitive information with the highest levels of discretion and professionalism
  • Outstanding written and verbal communications skills; English fluency required
  • Ability to work effectively cross-functionally within a “client-centric” global organization
  • Flexibility in adjusting work hours/availability to match requirements of the deal process
  • Some travel required
